PostVideo Terms of Service

Welcome to PostVideo (https://postvideo.ai, the "Service"). The Service is operated by Unity One Pte. Ltd. These Terms of Service are an agreement between you, including the organization you represent, and Unity One Pte. Ltd. ("we" or "us"). By using the Service you agree to be bound by these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it.

1. The Service

PostVideo is a TikTok publishing and analytics tool for teams. It offers multi-account management, scheduled and batch publishing, video statistics collection and analysis, Google Drive video import, team permission management and AI copy assistance.

We may add, change or discontinue features at any time. We will give advance notice of material changes that affect core functionality.

2. Accounts and onboarding

The Service has no self-service sign-up. Organizations are onboarded by the platform administrator, and members are created by the owner or admins of that organization. You are responsible for keeping your credentials confidential and for all activity under your account.

If you suspect unauthorized use of your account, contact your organization admin or us immediately.

3. Third-party platform authorizations

The Service requires you to authorize access to third-party platforms (TikTok, Google Drive). Authorization happens on the third party's pages and is governed by its own terms and privacy policy. You must have the right to authorize the accounts you connect and must comply with TikTok and Google policies.

Third parties may change their APIs, restrict access or revoke authorizations; resulting unavailability is not a breach by us. You may revoke authorizations at any time inside the Service or in the third party's account settings.

4. Your content

You or your licensors own the videos, text and other material you upload, import or publish through the Service ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free license to process Your Content solely as needed to provide the Service: storing, transcoding, transmitting it to the third-party platforms you authorize, and generating statistics.

You represent and warrant that you hold all rights needed for Your Content, that it does not infringe any third party's intellectual property, privacy or other rights, and that Your Content and your publishing comply with applicable law and the community guidelines of the destination platform.

5. Acceptable use

You may not use the Service to publish unlawful, infringing, fraudulent, harassing or malicious content; to circumvent rate limits or security mechanisms of TikTok, Google or the Service; to access accounts or data without authorization; to reverse engineer, scrape or place unreasonable load on the Service; or to resell the Service or use it outside the scope of these Terms.

We may suspend affected features or accounts when we reasonably believe these rules have been violated, and will notify your organization admin where appropriate.

6. Fees and payment

Charges include (1) a system fee based on the number of seats your organization has enabled, and (2) a monthly fee for each Managed Seat you order. Prices are shown on the order page or order and are in US dollars. You pay the price shown: any applicable taxes are included or itemized on the invoice, and nothing is added on top at payment.

Fees are prepaid for each billing period. Orders paid online are activated once payment is confirmed; for bank transfer and other methods, orders are activated as agreed in the order, and payment counts once we confirm receipt. Renewal invoices are issued before the current period ends and must be paid before the next period starts; if unpaid, the related seats or accounts stop at the end of the current period and are reclaimed.

Online payments are processed by our payment provider (Stripe); we do not store your full card details. You may also pay by bank transfer as instructed by us; payment counts once we confirm receipt.

Where a separate service agreement or order applies, its terms prevail. During an agreed trial or evaluation period with no such agreement, the Service is provided free of charge.

7. Refunds and credits

Fees are a flat charge per period, regardless of how much you use the Service. Fees paid are not refunded for non-use, partial use or stopping mid-period, and unused allowances do not roll over.

Exceptions: (1) if we end a seat or account early for reasons on our side, we refund or credit the remaining days; (2) if a Managed Seat account is unavailable for more than 72 consecutive hours for reasons on the Account Partner side, we credit the affected days, counted from when the outage was detected, to your next invoice; if an Account Partner is removed, we replace the account free of charge or credit the remaining days; (3) duplicate or erroneous charges are refunded in full.

If you have a question about a charge, please contact us first; we will respond within 5 business days.

8. Managed Seats

A Managed Seat is a collaboration in which a vetted Account Partner uses their own TikTok account to publish selling content for you. The account always belongs to the Account Partner. You send content to the account as drafts through the Service, and the Account Partner reviews and publishes it themselves. We do not give you the Account Partner's login credentials, and you have no direct control of the account.

Each Managed Seat is used by one organization during its order period. The number of drafts you may send per period is the allowance shown on your order.

When using Managed Seats you must: set an affiliate commission rate no lower than the platform minimum (currently 1%) for products sent to the account; ensure content complies with TikTok community and commerce rules and is labeled as branded or AI-generated content where required; and communicate with Account Partners only through the Service, without requesting their contact details or arranging collaboration outside the Service.

If you breach these requirements we may, in escalating order, warn you, suspend new orders, and end the affected orders without refund. Posts that fail or are withdrawn because of your content do not count against the Account Partner.

The Account Partner's affiliate commission is set by you in your TikTok collaboration plan and is paid to the Account Partner directly by TikTok, not through us.

9. Intellectual property

The software, interfaces, documentation and trademarks of the Service belong to us or our licensors. Except for the right to use the Service granted in these Terms, no intellectual property rights are transferred to you.

10. Disclaimers and limitation of liability

The Service is provided "as is". We do not warrant that it will be uninterrupted or error-free, nor do we guarantee the availability of third-party platforms, the reach of published content or the absolute accuracy of statistics.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or punitive damages arising from use of or inability to use the Service, and our total liability is limited to the fees paid by your organization to us in the 12 months preceding the event giving rise to the claim.

11. Suspension and termination

Your organization may stop using the Service at any time through its admin and ask us to delete its data. We may terminate the Service for material breach of these Terms, where required by law, or when the Service is discontinued, and will provide a reasonable way to export your data.

On termination, authorization tokens related to the Service are deleted and revoked with the third-party platforms, and Your Content is deleted within a reasonable period except where retention is required by law.

12. Changes to these Terms

We may update these Terms. Material changes will be announced in the app or through organization admins; continued use after a change means you accept the updated Terms.

13. Governing law and disputes

(Draft, pending legal review) These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation and, failing that, submitted to the courts of Singapore.
